Terms of sale

These terms of sale (the “Terms”) govern the assignment of the domain names offered on sleepy.domains by ma2t.

1. Seller identification

The seller is ma2t, a single-member limited liability company (EURL) with a share capital of €700.00, registered with the Lille Métropole Trade and Companies Register (RCS) under number 505 275 883, with its registered office at 229 rue de Solférino, 59000 Lille, France. Intra-community VAT number: FR28505275883 (company subject to VAT). Email: contact [at] sleepy.domains . Manager: Matthieu Malvache.

ma2t is a registrar accredited by AFNIC for the .fr extension and sells the domain names of its own portfolio, on its own account.

2. Scope and acceptance

The sale of the domain names offered on sleepy.domains is reserved to business buyers. By placing an order, the buyer declares that it purchases for professional purposes falling within the scope of its main business activity.

The Terms are accepted by the buyer at the time of the order. The applicable version is the dated version in force on the day of that acceptance.

In the event of a conflict, the individual assignment agreement concluded between the parties prevails over these Terms, which supplement it for anything it does not stipulate.

3. Object of the assignment

The assignment consists in transmitting to the buyer the contractual position of holder of the domain name with AFNIC, i.e. the right to use and manage the name under the conditions of the .fr naming policy. It transfers no trademark right nor any other distinctive sign.

4. Selection policy and no acknowledgment of rights

The domain names in the portfolio are selected for their descriptive, generic or evocative value.

No offer, listing, discussion or negotiation conducted on the platform constitutes an acknowledgment of any third-party right in the name concerned, nor a solicitation by ma2t of the holder of such a right.

In accordance with article 1112-2 of the French Civil Code, negotiations are confidential. The parties mutually undertake not to produce the exchanges made during the negotiations in any proceedings relating to the rights in the sign concerned.

5. Prices and taxes

Prices are stated excluding VAT, as the sale is reserved to business buyers.

French VAT applies to business buyers established in France, at the rate in force at the buyer’s place of establishment (20% in metropolitan France; a specific rate or regime may apply in the overseas departments and collectivities). For taxable customers established in another European Union Member State holding a valid and verified intra-community VAT number, the transaction falls under the reverse-charge mechanism (article 259-1° of the French Tax Code): the invoice bears the mention “Autoliquidation” (reverse charge) and VAT is due by the customer in its Member State. For customers established outside the European Union, the transaction is not subject to French VAT (article 259-1° of the French Tax Code).

A compliant invoice is issued by ma2t for every payment collected, including deposits.

6. Formation of the contract by electronic means

The prices and listings published on sleepy.domains constitute an invitation to enter into negotiations, subject to the availability of the name; they do not constitute an offer within the meaning of article 1114 of the French Civil Code. Offers issued or accepted by ma2t remain valid for the period they state and, failing any indication, for seven calendar days.

Before confirming the order, the buyer accesses a summary allowing them to check its details and total price and to correct any input errors. The contract is concluded when the buyer, having checked that summary, confirms the order.

The contract is concluded in French. ma2t archives concluded contracts for ten years from their conclusion; the buyer may access them at any time upon request sent to contact [at] sleepy.domains .

Evidence agreement. The logs, timestamps and digital fingerprints generated by ma2t’s information systems are binding evidence between the parties, unless proven otherwise.

7. .fr eligibility

The assignment is concluded under the condition precedent of the buyer’s eligibility to hold a .fr domain name, in accordance with article L.45-3 of the French Postal and Electronic Communications Code and the AFNIC naming policy: natural persons residing in, and legal entities having their registered office or principal place of business in, the European Union, the European Economic Area or Switzerland.

The buyer warrants their eligibility and the accuracy of the future holder’s data they provide. If the transfer fails because of the buyer’s ineligibility or the inaccuracy of that data, the sale lapses, in accordance with article 1304-6 of the French Civil Code, and the sums paid are refunded, less the costs incurred and substantiated by ma2t.

8. Payment terms

Up to €3,000 including VAT, the price is paid in full by card via Stripe at the time of the order.

Above €3,000 including VAT, the order gives rise to the payment by card of a deposit of 15% of the price including VAT, which reserves the name; the balance is paid by SEPA wire transfer within fifteen days of the issuance of the corresponding invoice.

The deposit is a firm down payment credited against the price; it does not constitute “arrhes” within the meaning of article 1590 of the French Civil Code and grants neither party any right of withdrawal.

If the balance is not paid when due, and after a formal notice has remained without effect, the sale is rescinded by operation of law; the deposit is retained by ma2t as a fixed indemnity. If the rescission is attributable to ma2t, the sums paid are refunded in full to the buyer.

9. Withdrawal

As the contract is concluded between professionals, the buyer has no right of withdrawal.

By exception, in the case provided for by article L.221-3 of the French Consumer Code (a business buyer employing five employees or fewer where the object of the contract does not fall within the scope of its main business activity), the buyer benefits from a fourteen-day withdrawal period from the conclusion of the contract. A checkbox, unticked by default, allows the buyer at the time of the order to expressly request the immediate performance of the transmission before the expiry of that period; the buyer then acknowledges losing their right of withdrawal once the transmission has been fully performed (article L.221-25 of the French Consumer Code).

Absent an express request for immediate performance made by the buyer referred to in the second paragraph of this article, the initiation period provided for in article 10 runs from the later of the following two dates: full collection of the price or the expiry of the withdrawal period.

10. Performance and transfer

ma2t initiates the transmission of the name (change of holder) with AFNIC within a maximum of five business days from full collection of the price.

Until the transfer, ma2t keeps the name active and renewed. ma2t provides the authorisation code (auth code) free of charge, performs the change of holder and gives the buyer reasonable assistance with the transfer operations.

The assignment is perfected upon the registration of the transmission by AFNIC, i.e. upon the effective change of holder, including where the name is transferred to another registrar. Risk passes to the buyer on that same date.

11. Events affecting the name before transfer

If, before the registration of the transmission, the name is frozen or blocked, a SYRELI, PARL Expert or court proceeding is initiated, or a third party raises a written claim, the party aware of it shall immediately inform the other. The performance periods provided for in article 10 are suspended for the duration of the event.

If the event continues beyond sixty days, either party may rescind the sale by written notice. ma2t then refunds all sums paid within fourteen days. This refund is exclusive of any other indemnity.

12. Warranties

The statutory warranty against eviction remains vested in the buyer for the personal acts of the assignor, in accordance with articles 1626 and 1628 of the French Civil Code; it cannot be excluded.

For third-party claims based on prior rights (trademark, company name or any other distinctive sign), the sale is concluded at the buyer’s own risk, in accordance with article 1629 of the French Civil Code. The buyer, a professional, declares that it carried out its own prior-rights searches on the name concerned before ordering.

The warranty against hidden defects applies under the conditions of articles 1641 et seq. of the French Civil Code.

In the event of proceedings initiated by a third party after the assignment, each party shall inform the other without delay and the parties shall reasonably cooperate in the defence of their respective interests.

13. Liability

ma2t’s total aggregate liability in respect of an assignment is capped at the price actually paid by the buyer for that assignment. Indirect damages are excluded, in particular loss of business, loss of revenue and loss of image.

This cap and these exclusions do not apply in the event of gross negligence or wilful misconduct, and shall not deprive an essential obligation of ma2t of its substance.

14. Force majeure

Neither party is liable for the non-performance of its obligations where it results from force majeure within the meaning of article 1218 of the French Civil Code, including the unavailability or malfunction of the registry, freezing measures, and administrative or court decisions affecting the name. Obligations are suspended for the duration of the impediment; if the impediment is permanent, the contract is terminated under the conditions of article 1218. The events referred to in article 11 remain governed by that article.

15. Management of the name after the assignment

ma2t acts in a dual capacity, disclosed to the buyer: seller of the names of its own portfolio and registrar accredited by AFNIC.

After the registration of the transmission, the buyer freely transfers the name to the registrar of its choice; the authorisation code is provided free of charge.

If the name remains under ma2t’s management, that management falls under a registration agreement separate from these Terms: the registration period current on the day of the transmission benefits the buyer until its expiry, and the first invoiced renewal falls due at that expiry. Renewal is invoiced at €20 excluding VAT per year; a notice is sent to the buyer before each due date; failing payment after a reminder, the name expires in accordance with AFNIC’s procedures. This registration agreement may be terminated at any time by transferring the name to another registrar.

16. Personal data

The processing of personal data related to the service is described in the sleepy.domains privacy policy.

For the purposes of registering the transmission, the new holder’s data is transmitted to AFNIC: it feeds the registry database and the domain-name directory; natural persons benefit by default from restricted publication of their data in the directory.

17. Governing law and jurisdiction

These Terms and the assignments they govern are subject to French law.

ANY DISPUTE RELATING TO THE FORMATION, INTERPRETATION, PERFORMANCE OR TERMINATION OF THESE TERMS OR OF AN ASSIGNMENT IS SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE TRIBUNAL DES ACTIVITÉS ÉCONOMIQUES OF LILLE MÉTROPOLE (LILLE MÉTROPOLE ECONOMIC ACTIVITIES COURT), NOTWITHSTANDING ANY PLURALITY OF DEFENDANTS OR THIRD-PARTY PROCEEDINGS (ARTICLE 48 OF THE FRENCH CODE OF CIVIL PROCEDURE).

As the sale is concluded between professionals, the French consumer-mediation scheme (articles L.611-1 et seq. of the French Consumer Code) does not apply.

18. General provisions

ma2t may amend these Terms for the future; the version applicable to an order is the one accepted at the time of that order.

The invalidity of one provision does not affect the validity of the other provisions. A party’s failure to invoke a breach by the other party does not constitute a waiver of the right to invoke it later.
